Terms & Conditions

These Terms and Conditions (“Terms”) govern all products and services provided by Surge Institute Pty Ltd (“Surge Institute”, “we”, “us”, “our”), including but not limited to:

By purchasing, enrolling, signing a contract, or making payment for any Surge Institute service, you agree to be legally bound by these Terms.

1. Acceptance of Terms

You accept these Terms when you:

2. Payment Methods & Processing

Surge Institute uses multiple payment processors depending on location and payment type.

2.1 Payment Platforms

By making payment, you also agree to the applicable terms and conditions of the relevant payment provider.

3. Binding Contracts

Certain services require a separate service agreement signed via DocuSign.

Failure to read or understand a contract does not invalidate it.

4. Fees, Billing & Authorisations

You are responsible for ensuring sufficient funds are available at all times.

5. Business Coaching Programs

5.1 Minimum Commitment Periods

By enrolling in any Business Coaching Program, you agree to the following minimum commitment terms:

Clients cannot cancel during the applicable minimum term under any circumstances unless expressly approved in writing by Surge Institute.

5.2 Weekly Debits & Ongoing Billing

For all Business Coaching Programs offered on weekly payment plans:

Cancellation requests:

Failure to send a cancellation email will result in continued billing, even after the minimum term has been completed

5.3 No Cancellation During Minimum Term

Clients may not:

Stopping or reversing payments does not cancel the agreement and may result in service suspension, collection of outstanding balances, and recovery of administrative and legal costs.

5.4 Payment Pause Policy (Discretionary)

In exceptional circumstances, Surge Institute may approve a temporary pause of payments at our sole discretion.

Pauses are not automatic and not guaranteed.

6. Surge Virtual Assistant System

6.1 No VA Poaching / Non-Solicitation

Clients may not solicit, recruit, hire, contract, or engage any Surge Institute Virtual Assistant or staff member during engagement or for 12 months after termination.

Breach Penalty: Equivalent to 12 months of the VA’s full service cost, payable immediately.

7. Marketing Solutions

8. No Refund Policy

All payments are final and non-refundable.

This includes upfront payments, payment plans, weekly debits, deposits, partial use, non-participation, dissatisfaction, or change of circumstances.

8.1 Credit in Lieu of Refunds (Approved Circumstances Only)

Where a client has paid in full and services have not been rendered or completed, Surge Institute may, at its sole discretion, approve a service credit.

Credits:

Credits are a goodwill gesture and do not override the no-refund policy.

9. Client Responsibility & Participation

Clients are solely responsible for:

Failure to participate does not constitute non-delivery of services.

10. Confidentiality

Clients agree to keep confidential all Surge Institute materials, systems, processes, VA workflows, pricing, and any information shared in group programs.

11. Testimonials & Marketing Consent

Clients grant Surge Institute permission to use testimonials, messages, screenshots, recordings, names, and results for marketing purposes unless expressly revoked in writing.

12. Platform & Third-Party Disclaimer

Surge Institute is not responsible for changes, outages, bans, or failures of third-party platforms including but not limited to Meta, Google, Stripe, Zoom, CRM tools, AI tools, or social platforms

13. Termination for Cause

Surge Institute may terminate services immediately for:

Termination does not remove payment obligations.

14. Force Majeure

Surge Institute is not liable for delays or failure to perform due to events beyond reasonable control, including illness, internet failure, natural disasters, platform outages, war, pandemics, or government action.

15. Intellectual Property

No resale, sharing, or commercial reuse is permitted.

All materials, systems, SOPs, frameworks, templates, and content remain the exclusive intellectual property of Surge Institute.

16. Limitation of Liability

To the maximum extent permitted by law:

Clients agree to indemnify and hold harmless Surge Institute from any claims arising from their misuse of services, content, advice, or third-party violations.

18. Assignment & Transfer

Clients may not assign, transfer, resell, or share access to services without written consent.

19. Privacy & Data Protection

Use of services is subject to Surge Institute’s Privacy Policy. Clients consent to data processing required to deliver services.

20. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

21. Entire Agreement

These Terms, together with any signed DocuSign agreement, constitute the entire agreement between the parties.

No verbal statements override this agreement.

22. Governing Law & Jurisdiction (International)

These Terms are governed by general principles of international contract law. Jurisdiction shall be determined by Surge Institute unless mandatory local consumer laws apply.

23. Updates to Terms

Surge Institute may update these Terms at any time. Continued use of services constitutes acceptance.
